This Freight Forwarder Service Agreement (the "Agreement") is made between HAI Technology Systems Limited trading as Freight Base (the "Company", "we", "us") and the freight forwarder accepting these terms (the "Forwarder", "you"). By acknowledging this document on the compliance checklist you agree to be bound by it.
This Agreement is additional to, and must be read with, the Freight Base Platform Terms of Use. If there is a conflict, the Platform Terms of Use prevail unless this Agreement expressly states otherwise.
1. Nature of the relationship
The Forwarder is an independent business customer of the Platform. Nothing in this Agreement creates a partnership, joint venture, agency or employment relationship. Freight Base is a technology marketplace and, unless agreed in writing, is not the carrier, freight forwarder or warehouse operator responsible for the goods.
Where a Booking is accepted by a carrier on the Platform, the contract of carriage is between the Forwarder (or its customer, as applicable) and that carrier.
2. Use of the Platform
The Forwarder agrees to:
- post only genuine commercial Bookings with accurate cargo, access and timing details;
- not use the Platform to harvest carrier contact data for off-platform solicitation;
- treat carriers professionally and pay agreed charges in accordance with the Booking;
- disclose any hazardous, high-value, timed or unusual handling requirements;
- ensure goods are available, packaged and accessible at the agreed collection time.
3. Fees
Platform charges, including any Marketplace Transaction Fee, subscription or enterprise charges, are as published in the Platform Terms of Use and Pricing Schedule, or as agreed in writing. The Forwarder must not structure arrangements primarily to avoid Platform Charges.
4. Marketplace integrity
Introductions between the Forwarder and carriers facilitated by Freight Base are Protected Introductions under the Marketplace Protection Programme. During the Protected Period the Forwarder must not intentionally bypass the Platform to avoid Platform Charges in respect of those introductions.
5. Insurance and compliance
The Forwarder must maintain public liability and goods in transit (or equivalent cargo) insurance appropriate to the work it arranges, and must complete the onboarding compliance checklist, including identity and business verification.
6. Data protection
The Forwarder is responsible for personal data it controls in relation to its own customers, consignors and consignees. It must comply with UK GDPR and the Data Protection Act 2018 and with the Data Protection Compliance Acknowledgement. Freight Base's processing as operator of the Platform is described in the Privacy Policy.
7. Liability
Freight Base is not liable for the acts or omissions of independent carriers. Nothing in this Agreement excludes liability that cannot lawfully be excluded.
8. Term and governing law
This Agreement starts when you acknowledge it and continues until the Forwarder's account is closed or membership is terminated under the Platform Terms. It is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
