Welcome to Freight Base ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Freight Base website and services (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.

2. Definitions

• "Shipper" refers to individuals or companies posting freight jobs on the Platform.
• "Carrier" refers to individuals or companies bidding on and transporting freight.
• "User" refers to any person or entity using the Platform, including Shippers and Carriers.
• "Job" refers to a freight transportation request posted by a Shipper.
• "Bid" refers to an offer submitted by a Carrier to complete a Job.

3. User Accounts

3.1 Account Creation

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this requirement.

3.3 Company Verification

Carriers may be required to submit verification documents to obtain a verified status. We reserve the right to verify company information and reject or revoke verification at our discretion.

4. Use of the Platform

4.1 Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any part of the Platform
• Use automated scripts or bots to access the Platform
• Harvest or collect information about other Users
• Post or transmit harmful code, viruses, or malware

4.2 Job Postings

Shippers are responsible for:

• Providing accurate and complete job information
• Ensuring cargo is properly packaged and documented
• Being available for pickup as scheduled
• Paying agreed-upon amounts to Carriers

4.3 Bidding and Transportation

Carriers are responsible for:

• Submitting accurate and realistic bids
• Having proper licenses, insurance, and permits
• Transporting cargo safely and on time
• Providing timely status updates
• Following all applicable transportation regulations

5. Transactions and Payments

5.1 Platform Role

Freight Base is a marketplace platform that connects Shippers and Carriers. We are not a party to the transportation contracts between Users.

5.2 Payment Terms

Payment terms and methods are agreed upon directly between Shippers and Carriers. Users are responsible for fulfilling their payment obligations.

5.3 Platform Fees

We may charge fees for certain platform features or services. Any applicable fees will be clearly disclosed before you incur them.

6. Content and Intellectual Property

6.1 User Content

You retain ownership of any content you post on the Platform ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the Platform.

6.2 Platform Content

All content on the Platform, including text, graphics, logos, and software, is owned by Freight Base or our licensors and is protected by intellectual property laws.

7. Reviews and Ratings

Users may post reviews and ratings. All reviews must be:

• Based on genuine experiences
• Honest and factual
• Free from offensive or defamatory content
• Not influenced by compensation or incentives

We reserve the right to remove reviews that violate these standards.

8. Disclaimers and Limitations of Liability

8.1 Platform Availability

The Platform is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation.

8.2 User Verification

While we may verify certain user information, we do not guarantee the accuracy or reliability of any User or User Content.

8.3 Limitation of Liability

To the fullest extent permitted by law, Freight Base shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from transactions between Users
• Damages caused by cargo loss, damage, or delay
• Actions or omissions of other Users

9. Indemnification

You agree to indemnify and hold harmless Freight Base from any claims, damages, losses, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

10. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Multiple user complaints
• Any reason at our discretion

You may terminate your account at any time by contacting us. Upon termination, you remain liable for any outstanding obligations.

11. Dispute Resolution

11.1 Between Users

Disputes between Users should be resolved directly between the parties. We may provide assistance but are not obligated to do so.

11.2 Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the Platform. Your continued use of the Platform after changes constitute acceptance of the updated Terms.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Freight Base regarding the Platform.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force.

13.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
