Vetting Service Agreement

This Vetting Service Agreement (the "Agreement") is made between Freight Base (the "Company", "we", "us") and the applicant completing this sign-up (the "Applicant", "Member", "you"). By ticking the box to agree and proceeding with sign-up, you accept the terms set out below.
1. Definitions
- "Trial" means the initial 30-day sandbox period.
- "Vetting Process" (or "Vetting Service") means the administration and processing of your vetting application by the Company using a third-party provider.
- "Veriff Platform" means the third-party identity and background verification service used to carry out the checks.
- "Onboarding Criteria" means the standards you must meet in order to be approved onto the Platform.
2. The Agreement to Vet
The Company provides the identity-check process through the Veriff Platform without a registration fee or bank details. Trial jobs and quotes remain in the sandbox and are not published to the live marketplace. Identity verification is required to continue after the Trial.
3. Applicant Obligations
You agree to:
- Provide accurate, truthful and timely information and biometric data via the Veriff Platform, including promptly uploading photo ID and responding to Veriff prompts;
- Warrant that you hold all necessary UK operator licences (where applicable for vehicles over 3.5t), valid commercial insurance, and that any personnel submitted have the legal Right to Work in the UK.
4. Service Timeline
The Company will use reasonable endeavours to process the vetting application within 14 business days of receipt of all required information and biometric data. This is a target and not a strict deadline; third-party delays or an unresponsive applicant may extend the timeframe, and time is not of the essence.
5. Outcomes & Non-Refundability
The Vetting Fee is a non-refundable administrative processing fee that covers the administrative and third-party costs of running the checks. A result of "Fail", "Incomplete" or "Adverse" from the Veriff Platform constitutes a fully completed processing service. No refund will be issued if you fail to meet the Onboarding Criteria, and a failed result means no progression to business contracts on the Platform. Where the Veriff Platform flags a Right to Work issue, this is an immediate and automatic ground for rejection without liability on the part of the Company.
6. Third-Party Reliance
The Company relies entirely on the data provided by a third-party processor (the Veriff Platform) and makes no warranties as to the absolute accuracy of the background check reports. The Company is not liable for any errors, false positives or inaccuracies originating from the Veriff Platform.
7. Data Protection (UK GDPR)
Any sensitive personal data (including biometric identity data and criminal record data) is processed in compliance with the UK GDPR and the Data Protection Act 2018. 8. Limitation of Liability
To the fullest extent permitted by law, the Company's total liability to you for any matter arising out of or in connection with the Vetting Process and onboarding is limited to the fullest extent permitted by law. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
9. Governing Law
This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from it.
